TERMS OF SERVICE

1. Acknowledgment and Acceptance

These Terms of Service ("Terms") constitute a legally binding electronic agreement under the laws of the Islamic Republic of Pakistan, including but not limited to the Contract Act, 1872, the Electronic Transactions Ordinance, 2002, and all applicable rules and regulations.

By accessing, browsing, registering on, or using the website www.partsnwheels.com, its mobile site, or any related applications (collectively, the "Platform"), you acknowledge that you have read, understood, and agreed to be bound by these Terms.

Acceptance of these Terms and the Privacy Policy is recorded electronically and forms a binding agreement under applicable law.

If you do not agree to these Terms, you must immediately discontinue use of the Platform.

2. About PartsnWheels

PartsnWheels (Private) Limited ("PartsnWheels", "Company", "we", "us", or "our") is a company incorporated under the Companies Act, 2017 of Pakistan.

• Sale of used and/or refurbished automobile parts
• Advertising and listing of automobile parts by third-party sellers
• Ancillary automotive-related services

PartsnWheels acts strictly as a technology platform and facilitator and is not a buyer, seller, importer, manufacturer, or dealer unless explicitly stated otherwise.

3. Eligibility

• Users must be at least eighteen (18) years of age
• Users must be legally competent to enter into a binding contract under Pakistani law

PartsnWheels reserves the right to suspend or terminate access if eligibility requirements are not met.

4. Nature of Services

• Buy and sell used or refurbished automobile parts
• Advertise automotive products
• Access related informational content

All transactions are solely between buyers and sellers. PartsnWheels does not guarantee quality, authenticity, legality, safety, or availability of any goods.

4. Vehicle Compatibility, Technical Information & VIN Disclaimer

PartsnWheels does not provide VIN decoding, OEM specifications, repair procedures, or technical compatibility determinations.

All compatibility or fitment information is provided by third-party sellers for informational purposes only.

Buyers are solely responsible for verifying compatibility and suitability before purchase or installation.

5. Payments, Consideration & Financial Dealings Between Users

5.1 No Involvement in Payments

PartsnWheels does not collect, process, hold, or manage payments between users unless expressly stated.

5.2 Direct Transactions Between Users

All payments are conducted directly between buyers and sellers at their own risk.

5.3 No Agency or Fiduciary Relationship

No agency, partnership, trust, or fiduciary relationship is created.

5.4 No Liability for Payment Disputes

• Non-payment or delayed payment
• Fraudulent or reversed transactions
• Chargebacks, refunds, or cancellations
• Unauthorized or counterfeit payments

5.5 User Due Diligence

Users are responsible for verifying counterparties and assessing transaction risks.

5.6 Third-Party Payment Services

Third-party payment services are governed by their own terms.

5.7 Regulatory and Tax Compliance

Users are solely responsible for compliance with applicable financial and tax laws.

5.8 Express Waiver

Users waive all claims against PartsnWheels relating to payments between users.

6. User Obligations

i. Compliance with Law

Users must comply with all applicable Pakistani laws including PECA 2016.

ii. Prohibited Content

• Unlawful, harmful, abusive, or obscene content
• Content infringing intellectual property rights
• Content promoting criminal activities

iii. Prohibited Goods

• Illegal, stolen, or counterfeit goods
• Restricted or prohibited items

iv. Platform Security

• Unauthorized access or hacking
• Malware or harmful code

v. Conduct and Fair Use

• Spam or phishing
• Incitement of violence or disorder

vi. Reputation and Non-Disparagement

Users must not harm the reputation or goodwill of PartsnWheels or others.

vii. User Responsibility

Users are solely responsible for content they submit and must indemnify PartsnWheels.

7. Intellectual Property Rights & Infringement Reporting

All Platform intellectual property belongs to PartsnWheels or its licensors.

Users retain ownership of their content but are responsible for legality.

Infringement notices may be sent to support@partsnwheels.com.

8. Paid Promotional Listings & Featured Advertisements

• All payments are non-refundable
• No guarantee of traffic or sales
• Pricing may change for future listings

9. Exclusion and Limitation of Liability

PartsnWheels is not liable for indirect, incidental, or consequential losses.

Use of the Platform is entirely at the user’s own risk.

10. User-Generated Material

Users grant a limited license to PartsnWheels to use submitted content.

PartsnWheels does not endorse or verify user content.

11. Misuse of Platform and Enforcement

PartsnWheels may suspend or terminate accounts to protect Platform integrity.

12. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis without warranties.

13. Termination

PartsnWheels may suspend or terminate accounts for violations of these Terms.

Miscellaneous Provisions

Severability

If any provision is invalid, remaining provisions remain effective.

No Waiver

Failure to enforce a right does not constitute a waiver.

Force Majeure

PartsnWheels is not liable for events beyond reasonable control.

Entire Agreement

These Terms constitute the entire agreement between users and PartsnWheels.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of the Islamic Republic of Pakistan. Courts at Karachi shall have exclusive jurisdiction.
